I am still trying to digest all I heard in my phone call this afternoon, truly mind blowing stuff.  If anyone is/was a shareholder during this transaction get in contact with me, there is a very strong case for a lawsuit that could reverse this deal.

 

This is an extremely good article filled with good information.  I strongly suggest that anyone involved in and/or interested in this matter take a look.

Still running around with this one.  I am being told that they are not paying because I bought after the March 26, 2012 date.

 

Does anyone have any information on this?

Well, did you read their filings? Their cut-off date was 2012... this is the reason I did not participate in this arbitrage it was either a stupid typo or it was some kind of a trap by management.

I did read the filing and noticed the date but I assumed that they would have to change it.  I was wrong with my assumption.

I made the same assumption.  Now stuck with 500 shares of FFI that do not trade.  Maybe they will list on the pink sheets next year so we can sell.

It' maddening that the BOD can get away with releasing document past-dated a year an nobody can enforce corporate governance for the shareholders that lost money on this. I'm frustrated for the guys that lost money on this trade, it's a hard way to learn a lesson... being screwed up by poor BOD.

I agree.  At least it was not a significant amount of money but the BOD were simply not looking out for shareholders.

 

I have contacted the company several times and here is the latest response:

"Because of the purchase date of your shares, you are a large block shareholder.  All large block shareholders are still invested in the company with the same amount of shares in the post-merger company, although now they are not able to be traded on a national exchange.  They may be exchanged by private placement, or after the first of the year the company will be exploring the options of participating on a secondary exchange to see if any make sense from the financial and operational perspective.  One of the primary reasons for the de-listing with NYSE was the savings of all the related costs required to maintain the listing.  It is not part of out corporate strategy to re-engage those costs but we are open to looking at alternatives that might provide a liquidity option to our shareholders at a nominal expense.  The company will make an announcement on its website with regards to any listing".

Did anyone sue over the 2013 management LBO?  If true, the facts presented in Oddball's August 2013 blog post are pretty damning.

 

There are a number of things I didn't post that make the case even more compelling.  I believe there was outright fraud committed against both shareholders and Carter's family.  I don't know if this ever moved forward.  I talked to a number of individuals who were looking to sue, but I wasn't involved myself.  They were using an attorney in Indianapolis.

I wouldn't be surprised if there was no lawsuit.  If you put aside Carter Fortune's estate/family, the damages to other shareholders are relatively small for a shareholder derivative case. 

 

I'm surprised management re-listed the shares on the OTCBB, rather than using a short-form merger to get rid of the remaining minority shareholders (assuming Tennessee law -- like Delaware law -- allows a 90+% shareholder to use such a procedure).
